Fred Mitsdarfer a Partner with Tarabicos Grosso, LLP, where he focuses his practice on complex transactions involving the acquisition, finance, development, lease, and disposition of real estate for clients in the lender, developer, owner/operator, joint venture, corporate, and investor space.
Fred’s work involves drafting, reviewing, and negotiating the various documents related to a wide range of commercial and industrial real estate transactions, including purchase and sale agreements, loan documents, lease agreements, easements, joint venture agreements, development agreements, security instruments, legal opinions, and other real estate related agreements, as well as helping with all facets of due diligence, including title. Fred regularly assists clients with a variety of financing vehicles from traditional mortgage loans and mezzanine vehicles to commercial property clean energy (C-PACE) financing.
Fred also represents clients in virtually all aspects of real estate development and land use and zoning approvals, including interfacing with state and local officials. He navigates the complexities of the processes required to obtain variances and special use permits, and represents clients before various commissions, boards, and other bodies to pursue necessary land development approvals. Fred has represented clients in matters related to commercial real estate assessments and economic development.
Fred has spent his entire career practicing in Delaware. Immediately prior to joining the firm, he was a member of the Real Estate Group at Greenberg Traurig, LLP. Fred was also previously a member of the Real Estate Groups at Richards Layton & Finger, P.A. and Drinker Biddle & Reath LLP (now Faegre Drinker Biddle & Reath).

The firm’s services include:
- Drafting and negotiating letters of intent, purchase and sale agreements, builder lot purchase agreements, declarations, easements and restrictive covenants, deeds and affidavits, leases, community and condominium association agreements, entity formation documents and resolutions, settlement statements, and other required transactional documents
- Coordinating and assisting with due diligence matters, including obtaining and reviewing property surveys, environmental reports, appraisals, insurance materials, and financial documentation
- Reviewing title history, advising clients on the impact of title exceptions, resolving open liens and other encumbrances, and issuing title insurance policies
- Preparing and negotiating all necessary loan documents
- Conducting settlements, disbursing funds, recording and filing documents of record, and monitoring post-closing obligations
It is important to note that Delaware law requires all real estate settlements in the state to be conducted by an attorney licensed to practice in Delaware. In addition, all Delaware-licensed title agents must be members of the Delaware Bar. Tarabicos Grosso provides Delaware title agent services.
